Article 5 – Purchase of products on the site and monitoring service
The Customer is invited to provide the information required to identify them by completing the form available on the Site. An asterisk (*) indicates the mandatory fields that must be completed for the Customer's order to be processed by FEELBAT.
The Customer can check the status of their order on the Site. Delivery tracking may, where applicable, be carried out using the tracking tools of certain carriers. The Customer may also contact FEELBAT's sales department at any time by email at contact@feelbat.com to obtain information on the status of their order.
The information the Customer provides to FEELBAT when placing an order must be complete, accurate, and up to date. FEELBAT reserves the right to ask the Customer to confirm, by any appropriate means, their identity, eligibility, and the information provided.
The mobile application offered by FEELBAT for the Monitoring Services of the DELTA Feel® Gauges is free and allows for the connection of several sensors under the same user account, with a limit of 999 FEELBAT brand sensors (limit modifiable upon request at c)
The application also allows project management for the creation of “basic” projects, giving users access to the services and advantages proposed on the website www.feelbat.fr under a flat-rate pricing plan.
The application also offers the possibility to upgrade projects to the “EXPERT” level, which grants more significant access and rights from the start of service usage with FEELBAT.
Project billing is per unit and limited to 5 years (extension is free and available upon request at contact@feelbat.fr). The purchased project must concern a single case and cannot be reused for another case. The project’s name, location, and technical data will become inaccessible and non-editable by the Client after 6 months of project creation. Deletion of the last sensor assigned to a project and referenced on it for more than 6 months will render the project inaccessible and non-editable by the Client. c).
Upon deletion of a project or sensor within a project, the related data is also deleted and permanently lost from the storage area.
A project archiving feature is offered to the Customer who wishes to remove a sensor from a project or archive a project. This feature is subject to an annual archiving fee.
The FEELBAT application also includes the purchase of services such as:
- Sending alerts via email and SMS
- Automatic generation of PDF reports
- Filter / module analysis
- Remote communication with sensors via LINKFEEL® token through SIGFOX network and 4G (via the FEELBOX)
FEELBAT is not responsible for the accuracy of the email addresses and phone numbers provided by the client for receiving alerts, nor for the volume and frequency of reception chosen by the Client for receiving information transmitted by the connected Products. The client is responsible for monitoring their project and verifying the operation of the Products. The application allows for the generation of PDF reports, curve analysis tools, filters, and specific modules depending on the client’s use. FEELBAT cannot be held responsible for the data collected, its use, or any unintended consequences.
The communication of FEELBAT electronic sensors is done via radio services such as SIGFOX and the 4G network. The client is responsible for checking the availability and quality of the network in the sensor’s deployment area to ensure data transmission from the sensor (FEELBAT offers solutions to test and expand the network locally).
FEELBAT cannot be held liable for any disruption or degradation of the communication network selected by the client when activating the LINKFEEL token.
The LINKFEEL communication token has a usage duration of one year upon activation (the service is automatically deactivated the day before the anniversary date). This usage period must be extended by the client via the mobile app or the web platform.
The communication identifiers associated with the FEELBAT products' radio chip are exclusively activated and managed via the LINKFEEL service. Their use cannot occur without prior agreement from FEELBAT and is subject to additional billing. Any use of FEELBAT products outside this framework, without using the LINKFEEL service or prior authorization from FEELBAT, constitutes a violation of the general terms of sale.
Access to FEELBAT product data must be carried out exclusively via the web platform or a dedicated API, which requires prior agreement from FEELBAT. Any use of this data outside this framework, without the API provided by the company or without explicit authorization, constitutes a violation of the general terms of sale and may incur additional fees.
Article 6 – Duration of contracts and services related to the products
The Customer accesses the online service via the Internet, through the Site, using a username and password provided at the time of account creation.
The Customer will thus have access to the service 24/7, except in the event of maintenance operations, potential outages, or force majeure affecting FEELBAT.
It is the Customer's responsibility to subscribe with an Internet service provider and obtain a subscription enabling access to the site and the service. The Customer is responsible for ensuring the compatibility of their technical environment required for accessing and/or using the service.
Service contracts are not automatically renewed.
The subscription therefore expires on its anniversary date unless expressly agreed upon by both parties for renewal.
A customer wishing to renew their contract must make a request to Feelbat or subscribe online for renewal.
Article 7 – Ordering procedures
Product characteristics
FEELBAT undertakes to present the essential characteristics of the Products (on the information sheets available on the Site).
The Customer agrees to carefully read this information before placing an order on the Site.
All Products sold by FEELBAT are new and comply with applicable European legislation and standards in force in France.
Ordering procedure
Product orders are placed directly on the Site, through our sales team or through a distributor contractually linked to FEELBAT.
To place an order on the Site, the Customer must follow the steps described below.
Product selection and purchase options
The Customer must select the Product(s) of their choice by clicking on the relevant Product(s) and choosing the desired characteristics and quantities. Once a Product is selected, it is placed in the Customer’s shopping cart. The Customer may then add as many Products to the cart as desired.
Orders
Once the Products are selected and placed in the cart, the Customer must click on the cart and verify that the content of their order is correct. If they have not already done so, they will then be asked to log in or register.
Once the Customer has validated the content of the cart and logged in / registered, a completed online form will automatically appear summarizing the order, including price, applicable taxes, and, where applicable, delivery charges.
The Customer is invited to check the contents of their order (including quantity, characteristics, and product references ordered, billing address, payment method, and price) before confirming it.
The Products ordered, once confirmed, are considered as Products sold under the instructions provided on the Site and must be paid for as specified in the billing and delivery sections.
The Customer must also select the delivery method.
Acknowledgment of receipt
Once all the above steps are completed, a confirmation page appears on the Site to acknowledge receipt of the Customer’s order. A confirmation email is also sent to the Customer.
The Customer will receive this acknowledgment at the email address provided during registration.
Billing
During the ordering process, the Customer must enter the necessary billing information.
The Customer must clearly provide all delivery-related details, in particular the exact delivery address, as well as any possible access codes to the delivery location.
The Customer must also specify the chosen payment method (check, bank transfer, or credit card).
Neither the order form completed online by the Customer nor the order acknowledgment sent by FEELBAT by email constitutes an invoice.
Regardless of the ordering or payment method used, the Customer will receive the original invoice by email.
Order Date
The order date is the date on which FEELBAT acknowledges receipt of the order online. The timeframes indicated on the Site only begin to apply from that date.
Price
The applicable price is the one indicated on the Site on the date the Customer places the order.
Prices include, in particular, the value-added tax (VAT) at the rate in effect based on the place of delivery (e.g., French overseas departments and territories) at the date of the order.
Product Availability
FEELBAT undertakes to deliver the Product on the date or within the timeframe indicated to the Customer, unless otherwise agreed between the parties.
The unavailability of a Product is indicated on the relevant Product page.
Article 8 – Right of Withdrawal
When the Customer is a consumer, they benefit from a right of withdrawal applicable only to products.
The terms of the right of withdrawal are set out in the "withdrawal policy," attached in Annex 1 of these conditions.
In accordance with Article L221-28 of the French Consumer Code, the Customer does not benefit from a right of withdrawal for the ordered service provisions.
Article 9 – Payment
Payment Methods
The Customer must pay for their Products and Services online via the Site using the methods offered by FEELBAT or by bank transfer to the bank account indicated on the invoice, in compliance with the due date indicated by FEELBAT.
FEELBAT will take all necessary measures to ensure the security and confidentiality of data transmitted online as part of the online payment process on the Site.
It should be noted that all payment-related information provided on the Site is transmitted to the bank via the Site and is not processed by the Site itself.
Payment Date
In the case of a one-time payment by credit card, the Customer’s bank account will be debited upon validation of the order and payment on the Site.
Late or Refused Payment
If, for any reason (opposition, refusal, or otherwise), the payment transmission by the Customer proves impossible, the order will be canceled and the sale automatically terminated.
When specific commercial agreements are made with professionals allowing payment terms that comply with applicable regulations, and unless otherwise expressly agreed in advance by FEELBAT to extend the due date stated on the invoice, any late payment attributable to the Customer will result in:
- Immediate and automatic payment of all amounts due by the Customer, regardless of the payment method;
- The application of late penalties calculated at 10% of the invoice amount, pursuant to Article L441-10 of the French Commercial Code, and a fixed recovery fee of €40, without prejudice to any other damages FEELBAT may claim.
If the delay exceeds 30 days, FEELBAT reserves the right to restrict the Customer’s access to the web and mobile application, block the associated sensors, and suspend all related services. These rights may be restored within 24 to 48 hours after receipt of the due payment.
Securing Payments and Anti-Fraud Controls
Your purchases on www.feelbat.com are 100% secure thanks to control and security systems implemented in cooperation with our bank.
FEELBAT does not have access to your banking information and does not store them on its servers.
Article 10 – Proof and Archiving
Any contract concluded with the Customer corresponding to an order amount exceeding €120 including VAT will be archived by FEELBAT for ten (10) years in accordance with Article L. 213-1 of the French Consumer Code.
FEELBAT agrees to archive this information in order to ensure transaction tracking and to produce a copy of the contract at the Customer’s request. In the event of a dispute, FEELBAT will be able to demonstrate that its electronic tracking system is reliable and ensures the integrity of the transaction.
Article 11 - Transfer of Ownership
FEELBAT remains the owner of the delivered Products until full payment has been received from the Customer.
The above provisions do not prevent the transfer to the Customer, at the time of delivery to them or a third party designated by them (other than the carrier), of the risk of loss or damage to the Products subject to retention of title, as well as any resulting damage.
Article 12 - Delivery
The terms and conditions for the delivery of the Products are set out in the “delivery policy” referred to in Annex 2 of these terms and conditions.
Article 13 - Packaging
Products will be packaged in accordance with applicable transport standards to ensure maximum protection during delivery. The Customer agrees to follow the same standards when returning Products to FEELBAT under the conditions set out in Annex 1 – Withdrawal Policy.
Article 14 – Warranties
In addition to any commercial warranties that FEELBAT may offer for certain Products, and within the limits of warranties applicable to professionals, every Customer benefits from legal warranties for all Products, and consumer customers benefit from the provisions of Articles L.217-4 and L.217-5 of the French Consumer Code.
Conformity Guarantee for Consumers
Article L.217-4 of the French Consumer Code: "FEELBAT delivers a product in conformity with the contract and is liable for conformity defects existing at the time of delivery. It is also liable for conformity defects resulting from the packaging, assembly instructions, or installation when these were contractually the responsibility of FEELBAT or were carried out under its responsibility."
Article L.217-5 of the French Consumer Code: "The product is in conformity with the contract if: 1° It is suitable for the usual intended use of a similar item and, where applicable: corresponds to the description provided by FEELBAT and has the qualities that FEELBAT presented to the buyer in the form of a sample or model; has the qualities that a buyer may legitimately expect based on public statements made by FEELBAT, the producer, or their representative, particularly in advertising or on labeling; 2° Or it has the characteristics defined by mutual agreement between the parties or is suitable for any special use sought by the buyer, brought to FEELBAT’s attention and accepted by them."
In the event of a lack of conformity, the Customer may request, subject to compliance with legal deadlines, the replacement of the Product. If replacement is impossible, FEELBAT agrees to reimburse the price of the Product within thirty (30) days of the returned Product’s receipt.
FEELBAT will also reimburse any costs incurred for accessing the product in connection with a replacement or intervention.
It is specified that the legal conformity warranty applies independently of any commercial warranty possibly granted by FEELBAT on the Products.
Batteries and power cells are excluded from the conformity warranty due to their consumable nature.
Warranty Against Hidden Defects
FEELBAT is liable for a warranty due to hidden defects in the sold Product that render it unfit for its intended use, or that so diminish its usefulness that the Client would not have acquired it, or would have paid a lower price, had they known (Article 1641 of the French Civil Code).
This warranty allows the Client to choose between a refund of the Product’s price (if returned) or a partial refund (if the Product is retained), and reimbursement of related costs (without damage or physical alteration).
Claims for hidden defects must be made by the Client within two (2) years from the date the defect is discovered.
Legal warranty of conformity and exclusions
FEELBAT products are covered by the legal warranty of conformity, which covers conformity defects with respect to the sales contract that appear within two years from the product’s delivery date, as well as by the warranty for hidden defects, which covers non-visible defects at the time of sale that make the product unfit for its intended use or significantly diminish its utility.
As such, the warranty does not apply in the following cases:
· If the sensor has been dropped.
· If any part of the casing is damaged (impacts, cracks, marks).
· If the sensor is used for purposes other than crack monitoring.
· If the sensor is used to monitor displacements exceeding the proposed measurement range.
· If the sensor has been submerged/immersed in water.
· If the sensor is stored or used in a zone with temperatures below -25 °C or above +70 °C.
· If the sensor’s mounting points restrict its linear movement.
· If the request is made more than two years after the sensor’s purchase date.
Article 15 – Liability
FEELBAT cannot be held liable in any case of non-performance or improper performance of contractual obligations attributable to the Customer, particularly during the order process or while handling the Products (e.g., impact or misuse).
FEELBAT shall not be held liable for any delay or failure to perform where the cause is force majeure, as defined under French law, including in the event of a pandemic.
FEELBAT shall not be held liable for any insufficiency or absence of the SIGFOX or 4G network at the site used to connect the sensors or a remote box. Network verification must be carried out in advance by the Customer, who is responsible for checking the network quality at each installation point.
FEELBAT cannot be held liable in particular in cases of hacking, unavailability of hardware, supplies, spare parts, personal equipment, or other equipment, interruptions of electronic communication networks, or any other circumstance or external event beyond FEELBAT’s control, occurring after the conclusion of these terms and preventing normal performance.
FEELBAT is not responsible for the use made by the Customer of the Product. It is the Customer's responsibility to implement the necessary periodic verifications to ensure the proper operation of the Product as part of its missions, and to check the existence and quality of the connection to the electronic communication networks necessary to perform the Services.
In the event of a breach of these responsibilities by the Customer, it is specified that the Customer may not claim any compensation or reimbursement of any kind from FEELBAT.
FEELBAT SHALL NOT BE LIABLE TO THE CUSTOMER FOR ANY DIRECT OR INDIRECT INTANGIBLE DAMAGES. IN PARTICULAR, ALL ECONOMIC OR FINANCIAL LOSSES, LOSS OF BUSINESS, PROFIT, OR PRODUCTION (INCLUDING PRODUCTION DOWNTIME CAUSED BY THE CUSTOMER), LOSS OF CONTRACTS, OPPORTUNITIES, CHANCE, OR SALES, OR LOSS ARISING FROM USE OF THE PRODUCTS/SERVICES OR IN CONNECTION WITH FEELBAT, WHETHER BASED ON CONTRACTUAL OR TORT LIABILITY, ARE EXCLUDED. THIS ALSO APPLIES TO ANY GUARANTEE OR OTHER BASIS FOR LIABILITY, REGARDLESS OF WHETHER FEELBAT OR ANY OTHER PARTY HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
